PORTLAND HOMES CONSTRUCTION LIMITED

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 805 Salisbury House, 31 Finsbury Circus, London EC2M 5SQ, on 11th April 2001, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that accordingly the Company be wound up voluntarily, and that Duncan R. Beat, be and he is hereby appointed Liquidator of the Company.” At the subsequent Meeting of Creditors held on 11th April 2001, Duncan R. Beat was appointed Liquidator by the Creditors. P. Cooper
