At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 19 Borough Road, Sunderland SR1 1LA, on Wednesday, 4th April 2001, at 10.30 a.m. the following subjoined Extraordinary Resolution was duly passed: “That is has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Mr Ian William Kings, of Jennings Johnson, 19 Borough Road, Sunderland SR1 1LA, be and he is hereby appointed Liquidator for the purpose of such winding-up.” A.
