(t/a Rosie & Co) At an Extraordinary Meeting of the Members of the above-named Company, duly convened, and held at the offices of David Rubin & Partners, Pearl Assurance House, 319 Ballards Lane, London N12 8LY, on 23rd March 2001, the following Resolutions were duly passed, as a Special Resolution and as an Extraordinary Resolution respectively: “That the Company would be wound up voluntarily, that David Rubin, of David Rubin & Partners, Pearl Assurance House, 319 Ballards Lane, London N12 8LY, be and he is hereby appointed Liquidator for the purpose of such winding-up, and that in accordance with the provisions of the Company’s articles of association, the Liquidator be and is hereby authorised to divide among the Members in specie all or any part of the Company’s assets.
