At an Extraordinary General Meeting of the above-named Company convened and held at The Crossbush, Crossbush Lane, Arundel, West Sussex, on 19th January 2001, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That the Company cannot, by reasons of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Alan Roy Clifton, of Downham Train Epstein, Apex House, Grand Arcade, Tally Ho Corner, London N12 0EH, be appointed as Liquidator of the Company for the purpose of such winding-up.” G.
