At an Extraordinary General Meeting of the Company, duly convened, and held at Century House, 5 Old Bailey, London EC4M 7BA, on 16th January 2001, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Michael David Rollings, of Ernst & Young, Rolls House, 7 Rolls Buildings, Fetter Lane, London EC4A 1NH, be and hereby is appointed Liquidator for the purposes of such winding-up.” M.
