CHAINEY AND FLETCHER LIMITED

At an Extraordinary General Meeting of the above-named Company, convened, and held at 1-2 Little King Street, Bristol BS1 4HW, on Tuesday, 5th December 2000, at 10.30 a.m., the following Resolutions were passed as a Special Resolution and as Ordinary Resolutions respectively: “That the Company be wound up voluntarily, and that Malcolm Ellis Cork, of Moore Stephens Booth White, 1-2 Little King Street, Bristol BS1 4HW, be appointed Liquidator for the purpose of the voluntary winding-up, and that the Liquidator’s remuneration be based upon normal time costs and he be authorised to draw such amounts on account of such costs together with disbursements as incurred.” A.
