CITY REACH HOLDINGS LIMITED

At an Extraordinary General Meeting of City Reach Holdings Limited, held on 17th August 2000, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that Adrian Richard Stanway and Ian Christopher Oakley-Smith, licensed insolvency practitioners, both of PricewaterhouseCoopers, Plumtree Court, London EC4A 4HT, be and are hereby appointed Joint Liquidators for the purpose of winding-up the Company’s affairs and distrubuting its assets and any act required or authorised under any enactment to be done by the Joint Liquidators may be done by any one or more persons holding the office of Liquidator from time to time.” R.
