At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Canerector Inc., 100 Sheppard Avenue East, Suite 930, North York, Ontario M2N 6N5, on 14th August 2000, the subjoined Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Michael Chamberlain, of Chamberlain & Co., Aireside House, 24-26 Aire Street, Leeds LS1 4HT, be and hereby is appointed Liquidator for the purposes of such winding-up.” M.
