BATTERSEA BOATYARD

At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 33 St. George’s Drive, London SW1V 4DG, on 9th August 2000, the following Resolutions were duly passed, as a Special Resolution and as Ordinary Resolutions respectively: “That the Company be wound up voluntarily, and that Martin Freeman, of Griffins, 33 St. Georges Drive, London SW1V 4DG, be and is hereby appointed Liquidator for the purposes of such winding-up, and that the Liquidator be and is hereby empowered to distribute the assets of the Company (after deduction of Creditor’s claims, legal expenses of £2,690.34 and Liquidators fees and expenses, estimated to be £3,500), to the Wandle Industrial Museum as to one-third of the first £18,000 plus one-quarter of any excess over £18,000 and to the Motor Torpedo Boat 476 Restoration Trust as to two-thirds of the first £18,000 plus three-quarters of any excess over £18,000 subject only to the Liquidator being satisfied that both proposed recipients qualify for such distribution under clauses 3(B)(19)(4) and 7 of the Company’s Memorandum of Association.” A.
