At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Begbies Traynor, 6 Raymond Buildings, Gray’s Inn, London WC1R 5BP, on 31st July 2000, the following Extraordinary Resolutions were duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that G. W. Rhodes, of Begbies Traynor, 2-3 Pavilion Buildings, Brighton, East Sussex BN1 1EE, be and is hereby appointed the Liquidator of the Company for the purposes of such winding-up.” At the subsequent Meeting of Creditors held at the same place on the same day, the voluntary liquidation was confirmed with the appointment of G. W. Rhodes, of Begbies Traynor, 2-3 Pavilion Buildings, Brighton, East Sussex BN1 1EE, as Liquidator. M. Anderson, Director
