At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at the offices of Huntington Moore, No. 1 Old Hall Street, Liverpool L3 9HF, on Wednesday, 19th July 2000, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that Guy Huntington, of Huntington Moore, No. 1 Old Hall Street, Liverpool L3 9HF and David Swaden, of BDO Stoy Hayward, Peter House, St. Peter’s Square, Manchester M1 5AB, be and are hereby appointed Liquidators for the purpose of such winding-up.” A.
