At an Extraordinary General Meeting of the above-named Company, duly convened and held at The Angel Posting House and Livery, 91 High Street, Guildford, Surrey on 28th April 1999, at 10 a.m., the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and accordingly that the Company be wound up voluntarily, it was further passed as an Ordinary Resolution that Michael Bowell, of Levy Gee, 66 Wigmore Street, London W1A 3RT be, and he is hereby appointed Liquidator for the purposes of such winding-up.
