At an Extraordinary General Meeting of the Company, duly convened, and held on 3rd March 1999, the following Resolutions were duly passed as Special Resolutions: “That the Company be wound up voluntarily and that Simon Allport and Martin Fishman, both of Arthur Andersen, Bank House, 9 Charlotte Street, Manchester M1 4EU, be and they are hereby appointed as Liquidators for the purposes of the winding-up and any act required or authorised under any enactment to be done by them may be done by any one or all of them.” M.
