At an Extraordinary General Meeting of the above-named Company held at 5th Floor, Audrey House, Ely Place, London EC1N 6SN, on 8th March 1999, the following Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable that the Company be wound up voluntarily and that David Ingram of Fanshsawe Lofts, 5th Floor, Audrey House, Ely Place, London EC1N 6SN, be appointed as Liquidator of the Company.” J.
