At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 31 Carlton Crescent, Southampton, Hampshire SO15 2EW, on 25th February 1999, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Peter Anthony Hall, of Grant Thornton, 31 Carlton Crescent, Southampton SO15 2EW, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.” G.
