At an Extraordinary General Meeting of the above-named Company, duly convened and held at 50 Greenbank Street, Preston, Lancashire PR1 7PU, on Wednesday, 23rd December 1998, at 10.30 a.m., the following Extraordinary Resolution was duly passed: That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that Simon John Lundy and Ian William Kings, licensed Insolvency Practitioners of Jennings Johnson, 19 Borough Road, Sunderland SR1 1LA, be and they are hereby appointed Joint Liquidators for the purpose of such winding-up.” F.
