At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 7-10 Chandos Street, London W1M 9DE, on 9th July 1998, the following Extraordinary Resolutions were duly passed:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Alan Noel Gainsford, of 7-10 Chandos Street, London W1M 9DE, be and is hereby appointed the Liquidator of the Company for the purposes of such winding-up.”   At a subsequent Meeting of Creditors, held at the same place on the same day, the Voluntary Liquidation was confirmed with the appointment of Alan Noel Gainsford, of 7-10 Chandos Street, London W1M 9DE, as Liquidator.
