At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Royce Peeling Green, Irish Square, Upper Denbigh Road, St. Asaph, Denbighshire LL17 0RN, on Monday, 6th July 1998, at 11.15 a.m., the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily, and that Christopher Mark Slater and Kerry Bailey, of Royce Peeling Green, Irish Square, Upper Denbigh Road, St. Asaph, Denbighshire LL17 0RN, be appointed Joint Liquidators of the Company for the purpose of such winding-up, and that the Joint Liquidators act jointly and severally.” C.
