At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Old Bakery, Lower Gower Road, Royston, Hertfordshire SG8 5EA, on 25th June 1998, the subjoined Extraordinary Resolutions were duly passed:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilites, continue its business, and that it is advisable to wind up the same, and that Maurice Raymond Dorrington, of 4 Charterhouse Square, London EC1M 6EN, is hereby nominated as Liquidator of the Company for the purposes of such winding-up.” S.
