At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 8 Baker Street, London W1M 1DA, on 5th March 1998, the subjoined Extraordinary Resolution ws duly passed:   “That it has been approved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Sara Elizabeth Dayman, Licensed Insolvency Practitioner, of BDO Stoy Hayward, 8 Baker Street, London W1M 1DA, and Jamie Taylor, Licensed Insolvency Practitioner, of Taylor Gotham & Fry, The Old Exchange, 234 Southchurch Road, Southend-on-Sea, Essex SS1 2EG, be and they are hereby appointed Joint Liquidators for the purposes of such winding-up.” S.
