At an Extraordinary General Meeting of the above-named Company, convened, and held at 381-383 City Road, London EC1V 1NA, on 27th May 1998, the following Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That it has been proved to the satisfaction of the Company, that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily, and that Richard William James Long, of Richard Long & Co., 381-383 City Road, London EC1V 1NA, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.” A.
