Resolutions for Winding-up
THE ALAN GOULD UPHOLSTERY COMPANY LIMITED
At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at The Institute of Chartered Accountants in England and Wales, Moorgate Place, London EC2P 2BJ, on 16th March 1998, the following Extraordinary Resolution was duly passed: That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that David Norman Kaye of Crawfords, Stanton House, 41 Blackfriars Road, Salford, Manchester M3 7DB, and Thomas Berkowitz of Berkowitz Associates, 206 High Road, London N15 4NP, be and they are hereby nominated Joint Liquidators for the purpose of the winding-up.” At a Meeting of Creditors held immediately after the Meeting of Shareholders David Norman Kaye of Stanton House, 41 Blackfriars Road, Salford, Manchester M3 7DB, and Thomas Berkowitz of 206 High Street, London N15 4NP, were appointed Joint Liquidators of the Company.
