Cash offer by J. M. Finn & Co. on behalf of Mr. W. S. C. Richards for Dalkeith Inns Plc

Notice is hereby given, pursuant to section 90(5) of the Companies Act 1985, to the persons registered as holders of Ordinary Shares of 10p each (the Ordinary Shares”) of Dalkeith Inns PLC (the Company”) who either have no registered address within the United Kingdom or have not supplied an address within the United Kingdom to the Company for the giving of notices to them (Relevant Shareholders”) that the relevant offer document (the Offer Document”) and the form of acceptance (the Form of Acceptance”) being copies of those documents which were despatched to Shareholders of the Company on 4th March 1998, may be inspected at or (subject as provided below) obtained by personal application by or on behalf of Relevant Shareholders from the Royal Bank of Scotland Plc, Registrars Department, New Issues Section, PO Box 895, Consort House, East Street, Bedminster BS99 1XZ, during normal business hours on any week day (public holidays excepted) up to and including 3 p.m. on 25th March 1998. The Offer Document incorporates an offer by J. M. Finn & Co. on behalf of Mr. W. S. C. Richards for shares in the Company not held by him or those acting in concert with him of 25.5p per share. The terms of the offer and details in relation to the offer are set out in the Offer Document. The Form of Acceptance must be completed to accept the offer. Acceptance is open until 3 p.m. on 25th March 1998.
