At an Extraordinary General Meeting of the above-named Company, duly convened, and held at St. Alphage House, 2 Fore Street, London EC2Y 5DH, on 30th January 1998, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:   “That the Company be wound up voluntarily, and that Laurence J. Baehr, of Baehr Lubbock Fine, Russell Bedford House, City Forum, 250 City Road, London EC1V 2QQ, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.” L.
