Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that with effect from the date and time hereof (the “ Effective Time ”) ML Invest, Inc., a company formed under the laws of the State of Delaware, the United States of America and having its registered office at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington DE 19801, USA, being a limited partner of ML Invest Scotland Finance Limited Partnership (the “Partnership”), transferred its entire right, title and interest, together with all associated rights, obligations and liabilities arising therefrom (the “ Transferred Interest ”) in the Partnership to Merrill Lynch Group, Inc., a company formed under the laws of the State of Delaware, the United States of America and having its registered office at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington DE 19801, USA (“ ML Group ”), and that with effect from the Effective Time, ML Group assumed all the rights and obligations in respect of the Transferred Interest.
