Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company propose that:

•  resolutions are passed as a special resolution and ordinary resolutions

Special Resolution

1.  That it has been proved to the satisfaction of this Meeting that the company is insolvent and that it is advisable to wind up the same and, accordingly, that the company be wound up voluntarily.

Ordinary Resolutions

2.  That I. Scott McGregor and Kenneth Pattullo of Begbies Traynor (Scotland) LLP, Finlay House, 10-14 West Nile Street, Glasgow G1 2PP be and are hereby appointed Joint Liquidators of the Company for the purpose of such winding up;

3.  That any act required or authorised to be done by the liquidators may be performed by the liquidators for the time that they hold office.
