At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Unit 5, The Altec Centre, Minto Drive, Altens, Aberdeen AB12 3LW, on 22 November 2006, at 3.00 pm, the following Extraordinary Resolution was passed:

“That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and accordingly, that the Company be wound up voluntarily”.

The following Ordinary Resolution was also passed:

“That Alan William Adie, Insolvency Practitioner, of Adie Financial Solutions Limited, Unit 5, The Altec Centre, Minto Drive, Altens, Aberdeen AB12 3LW, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.”
