Pursuant to Section 378(1) of the Companies Act 1985

And 84(1)(c) of the Insolvency Act 1986

Passed on 5 April 2006

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Dundas Business Centre, 30/40 New City Road, Glasgow G4 9JT, on 5 April 2006, the subjoined Extraordinary Resolution was duly passed, viz:-

Resolution

“That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily, and that Mr James D C Macintyre, Licensed Insolvency Practitioner, of James Macintyre & Co, 38/40 New City Road, Glasgow G4 9JT, be and he is hereby appointed Liquidator for the purpose of such winding up.”
