At an Extra-Ordinary General Meeting of the above named Company, duly convened and held within the offices of PKF, 78 Carlton Place, Glasgow G5 9TH on 15 February 2005, the subjoined Extra-Ordinary Resolution was duly passed:

RESOLUTION

  “That the Company cannot, by reason of its liabilities, continue to carry on business and that Anne Buchanan, Chartered Accountant, PKF, 78 Carlton Place, Glasgow, G5 9TH be appointed Liquidator of the Company.”
