At an Extraordinary General Meeting of the above named Company duly convened and held at the offices of Ritson Smith, 16 Carden Place, Aberdeen on 17th March 2003 at 11.00am, the following resolutions were passed as Special Resolutions and Ordinary Resolutions respectively:

Special Resolution

That the company be wound up voluntarily.

Ordinary Resolution

That Ewen Ross Alexander of Ritson Smith, Chartered Accountants, 16 Carden Place, Aberdeen AB10 1FX be and is hereby appointed liquidator for the purpose of such winding-up.
