PORTFOLIO TRANSFER AND MERGER NOTIFICATION
Notice is hereby given that an application has been made by Chartis Europe SA (“CESA”) to the Autorité de Contrôle Prudentiel (the “ACP”) in accordance with applicable legislation for the transfer of its entire insurance business (including insurance policies written by CESA by way of freedom of services with risks situated in the UK) to Chartis Europe Limited (“CEL”). CEL is authorised and regulated by the UK Financial Services Authority, with registration number 202628, company number 1486260 and registered address: The Chartis Building, 58, Fenchurch Street, London EC3M 4AB. Both companies are members of the AIG group.
Simultaneously with the portfolio transfer, CESA will be merged into CEL pursuant to Directive 2005/56/EC of the European Parliament and of the Council of 26 October 2005 on cross-border mergers of limited liability companies (the “Cross Border Merger Directive”), as implemented by French and English law.
On completion of the portfolio transfer and merger, CEL will assume and accept the transfer of all claims, liabilities, rights and obligations relating to insurance policies written by way of freedom of services pursuant to Article 35 of Council Directive 92/49/EEC (third non-life insurance Directive) by CESA with risks situated in the UK. CESA will then be dissolved by operation of law without going into liquidation pursuant to the terms of the Cross Border Merger Directive. The rights and obligations of existing policyholders of CESA will not be altered in any way as a result of the portfolio transfer and merger.
The transfer of insurance policies means that the AIG group company which controls the personal information of policyholders will also change from CESA to CEL. The AIG group’s use of personal information otherwise remains unchanged and will continue to be protected in the same manner. Every interested policyholder and every other person who claims an interest in a policy is reminded that he may wish to seek professional advice on the contents of this notice and the matters dealt with therein.
Subject to the appropriate legal and regulatory consents (including the approval of the portfolio transfer by the ACP and the sanction of the merger by the High Court of England and Wales), it is anticipated that the merger of CESA into CEL and the related portfolio transfer will complete on 1 December 2012. Those insureds of CESA who do not agree to the portfolio transfer will be entitled to terminate their insurance contracts within 1 month of this completion date by contacting their broker or the Chartis contact point on their policy.
Policyholders should also note that on, or as close as possible to, 3 December 2012, CEL will change its name to AIG Europe Limited.
