NOVOPARC GROUP INTERNATIONAL LIMITED

Passed

At a General Meeting of the above named company, held on 1 October 2009 the following Special resolutions were duly passed:

 1. “THAT the Company be wound up voluntarily as a Members’ Voluntary Winding Up and that Mr. Liam Dowdall of BD0 Simpson Xavier, Beaux Lane House, Mercer Street Lower, Dublin 2, be and is hereby appointed Liquidator of the Company for the purpose of such Winding Up;”

 2. “THAT the Liquidator be and is hereby authorised, in accordance with the Memorandum and Articles of Association of the Company to distribute the whole or any part of the assets of the Company amongst the members in specie”
