NOTICE IS HEREBY GIVEN that on 26 September 2008 Munich Reinsurance America, Inc. (“Munich Re America”) and Great Lakes Reinsurance (UK) PLC (“Great Lakes”) presented an application to the High Court of England and Wales (the “Application”) pursuant to Part VII of the Financial Services and Markets Act 2000 (“FSMA”) for an order:

(1) under section 111 of FSMA sanctioning a scheme (the “Scheme”) for the transfer to Great Lakes of the whole of the general insurance and reinsurance business effected and/or carried out by Munich Re America, UK Branch; and
(2) under section 112 of FSMA making ancillary provisions to implement the Scheme.

A copy of the report (the “Report”) prepared by an independent expert, Mr. Fred Duncan of PricewaterhouseCoopers, a Fellow of the Institute of Actuaries, pursuant to section 109 of FSMA, and of a statement setting out the terms of the Scheme (the “Scheme Summary”) and a summary of the Report will be made available free of charge to anyone requesting such copies by contacting Patricia Natus by telephone on +44 203 0037149 (between 10:00 am and 4:00 pm) or in writing at Plantation Place, 30 Fenchurch Street, London, EC3M 3AJ from the date of publication of this notice until the date on which the Application will be heard before the Court. Copies of the Report, the Scheme Summary and a summary of the Report will also be available on the websites of Munich Re America and Great Lakes at www.munichreamerica.com and www.greatlakes.co.uk respectively.

All claims in relation to the transferring business currently being dealt with by or on behalf of Munich Re America will, after the proposed transfer, be handled by or on behalf of Great Lakes. Future claims arising under the policies of insurance and reinsurance included in the Portfolio will be similarly dealt with by or on behalf of Great Lakes. The proposed transfer will secure the continuation by or against Great Lakes of any legal proceedings currently pending by or against Munich Re America that relate to the rights and obligations in respect of the transferring business.

The Application is directed to be heard before a Judge of the Chancery Division at the Royal Courts of Justice, The Strand, London, WC2A 2LL on 16 December 2008 and any person, including any employee of Munich Re America or Great Lakes, who claims to be adversely affected by the carrying out of the Scheme may appear at the time of the hearing and express their views in person or by Counsel. Any person who intends so to appear, and any policyholder of Munich Re America and Great Lakes or reinsurer of the transferring business who objects to the Scheme but does not intend to attend the hearing, is asked to give notice in writing as soon as possible, and preferably before 1 December 2008 of such intention or objection, setting out the grounds of their objection, to the Solicitors named below.
