Notice is hereby given that a Petition was on 22 November 2006 presented to the High Court of Justice in Northern Ireland for the sanction of the Scheme of Arrangement and confirmation of the associated reduction of capital of Viridian Group PLC (the “Company”) under articles 418 and 147 respectively of the Companies (Northern Ireland) Order 1986.

And Notice is further given that the said Petition is directed to be heard at the High Court of Justice in Northern Ireland, Chichester Street, Belfast BT1 3JF on 5 December 2006 (as to the sanction of the Scheme of Arrangement) and on 7 December 2006 (as to the confirmation of the associated reduction of capital).

Any creditor or shareholder of the Company desiring to oppose the making of an Order for the sanction of the Scheme of Arrangement or for the confirmation of the reduction of the share capital of the Company should appear at the time of the relevant hearing in person or by a Legal Representative for that purpose.

A copy of the said Petition will be furnished to any person requiring the same by the under mentioned solicitors on payment of the regulated charge for the same.
