At an Extraordinary General Meeting of the Members of the above-named company duly convened and held at Clandeboye Lodge Hotel, Estate Road, Bangor, BT19 1UR, on the 9th day of June 2006, the following extraordinary resolution was duly passed:

“That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind-up the same and accordingly the company be wound up voluntarily.”

It was further resolved that Melanie Reevel Giles, Insolvency Practitioner of Philip Gill & Co, The MacDonald Building, 46 Mill Street, Comber, Co Down, BT23 5EQ be appointed liquidator of the company.
