BRINKLOW MARINA LTD

(IN ADMINISTRATION)

The application of Gareth Harris and Lee Van Lockwood, the Joint Administrators of Brinklow Marina ltd (in administration) (the Company) for (inter alia) orders in respect of the following:

• an order for an extension of the period of the administration of the Company;

• an order for permission to make a distribution to the creditors of the Company who are neither secured nor preferential;

• directions on the distribution of surplus funds in the administration once creditor claims and administration costs have been satisfied;

• directions and orders in respect of the ending of the administration of the Company; and

• directions and orders in respect of the discharge of the Joint Administrators from liability on the ending of the administration of the Company,

was heard at the Business and Property Courts in Leeds, Fourth Floor, West Gate, 6 Grace Street, Leeds LS1 2RP on 8 January 2026 at 10:30 am before Her Honour Judge Kelly.

The following orders were granted:

1. The period of the Administration of the Company be extended until 12:00 midnight on 12 October 2026 pursuant to paragraph 76(2) of the Insolvency Act 1986 (“the Act”).

2. The Joint Administrators be permitted under paragraph 65(3)(b) of Schedule B1 to the Act to make payments by way of distribution to creditors of the Company who are neither secured nor preferential.

3. Following the conclusion of the administration of the Company:

3.1 the Joint Administrators shall serve a copy of their final progress report on the Company’s creditors via the creditors’ portal;

3.2 not earlier than 28 days after serving their final progress report, pursuant to paragraph 3.1 above, the Joint Administrators shall send notice to the Registrar of Companies in form DS01 to move the Company from administration to dissolution pursuant to paragraph 84(1) of Schedule B1 to the Act (“Notice of Dissolution”);

3.3 the Joint Administrators shall file a copy of the Notice of Dissolution with the Court;

3.4 the Joint Administrators shall provide for a notice to be advertised in the Gazette, notifying interested persons of the making of this order, and the filing of the Notice of Dissolution with the Registrar of Companies. In total the Joint Administrators shall advertise three notices in the Gazette:

3.4.1 the first is to be advertised no more than 14 days before the Joint Administrators file the Notice of Dissolution with the Registrar of Companies; and

3.4.2 the second and third notices are to be advertised on the closest available advertisement dates to the subsequent monthly anniversaries of the date of the first advert;

3.5 the Joint Administrators shall transfer any net surplus funds remaining following the conclusion of the administration of the Company (“the Surplus”) to the client account of their instructed solicitors, Gateley Plc t/a Gateley Legal with standing instructions to remit the Surplus as bona vacantia property to the Crowns Nominee Account, as maintained by the Treasury Solicitor, as soon as reasonably practicable following the date the Company is deemed to be dissolved in accordance with paragraph 84(6) of Schedule B1 to the Act.

4. On registration of the Notice of Dissolution by the Registrar of Companies:

4.1 the appointment of the Joint Administrators as joint administrators of the Company shall cease to have effect pursuant to paragraph 84(3) of Schedule B1 to the Act; and

4.2 the Joint Administrators shall be discharged from liability in respect of any action as administrators of the Company pursuant to paragraph 98(2)(c) of Schedule B1 to the Act.

5. The costs of the application be paid as an expense of the Administration of the Company.

Notwithstanding the period of administration of the Company expired at 23:59 on 12 October 2026 (the Expiry), in compliance with paragraph 3.2 of the Order, on 12 October 2026, prior to the Expiry, Gareth Harris and Lee Van Lockwood, in their capacities at the time as Joint Administrators of the Company, sent a notice to the Registrar of Companies in form DS01 to move the Company from administration to dissolution pursuant to paragraph 84(1) of Schedule B1 to the Act.
