I, Iain Hunter, the undersigned, being a director of the Company hereby certify that the following written resolutions were circulated to the sole member of the Company on the Circulation Date and that the written resolutions were passed on the Effective Date:

“That the Company be wound up voluntarily and that Mark Robert Fry of BTG Begbies Traynor (London) LLP, Level 33, One Canada Square, London, E14 5AB and Andrew Richard Bailey of Turpin Barker Armstrong, Allen House, 1 Westmead Road, Sutton, Surrey, SM1 4LA be and hereby are appointed as Joint Liquidators for the purposes of such winding up and that any power conferred on them by law or by this resolution, may be exercised and any act required or authorised under any enactment to be done by them, may be done by them jointly or by each of them alone."

Note: Andrew Bailey of Turpin Barker Armstrong was appointed as Joint Liquidator of the Company by the member prior to the meeting of creditors. However, Mr Bailey subsequently withdrew his consent to act, and Benjamin Wiles and Robert Armstrong were nominated and appointed to act as Joint Liquidators alongside Mark Fry by the creditors at a duly convened physical meeting held on 13 October 2026.
