“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily, and that Damian Webb (IP No. 14970) of RSM UK Restructuring Advisory LLP, 25 Farringdon Street, London, EC4A 4AB and Matthew Woodcock (IP No. 32510) of RSM UK Restructuring Advisory LLP, Landmark, St Peter’s Square, 1 Oxford Street, Manchester, M1 4PB be and are hereby appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators are to act jointly and severally.”
