GENERAL MEETING OF MEMBERS

At a General Meeting of the members of the above named Company, duly convened and held at Artemis Insolvency Services Ltd, 385 Springfield Road, Belfast, BT12 7DG on 03 September 2026, the following resolutions were duly passed as below:

Special Resolutions

i. “That the company resolves that it be wound up voluntarily.”

ii. “That the Liquidator be and is hereby authorised to distribute among the member in specie or in kind the whole or any part of the assets of the Company (if Required).”

Ordinary Resolutions

iii. “That Antoinette Thorpe of Artemis Insolvency Services Limited, be and is hereby appointed Liquidator of the Company for the purposes of the winding-up.”

iv. “That the Liquidator will retain the Company's books and records for the statutory retention periods and thereafter is authorised to destroy or otherwise dispose of them without further reference to shareholders or creditors.”

v. “That the Liquidator be authorised to open a designated clients' account, for the receipt of monies on behalf of the Company prior to the liquidation and that the location of the registered office of the Company be changed from its present location to Artemis Insolvency Services Limited.”
