NOTICE IS HEREBY GIVEN that, on 18 August 2026, The Co-operative Bank plc (“Bank”) and Coventry Building Society (“CBS”) made an application (the “Application”) to the High Court of Justice, Business and Property Courts of England and Wales, Companies Court in London (the “Court”) for:

(1) an Order under section 111(1) of the Financial Services and Markets Act 2000 (as amended) (“FSMA”) sanctioning a banking business transfer scheme (the “Scheme”) providing for the transfer to CBS of the Transferring Business (as defined in the document setting out the terms of the Scheme (the “Scheme Document”)). The Transferring Business consists of the entire business of the Bank, including, amongst others, all current accounts, savings accounts, mortgages, credit cards and loans, with the exception of a small number of contracts and arrangements, including employment-related contracts, its obligations to registered pension arrangements and assets and liabilities (including contracts) governed by non-UK law, which constitute Excluded Business (as defined in the Scheme Document); and

(2) the making of ancillary provisions in connection with the Scheme under section 112 of FSMA.

The proposed transfer will result in the Transferring Business, which is currently being carried on by the Bank, being carried on by CBS.

A copy of the Scheme Document, an explanatory statement setting out the terms of the Scheme and this notice will be sent free of charge to any person who requests it using the contact details set out below. These documents will also be made available to collect from 1 Balloon Street, Manchester, United Kingdom, M4 4BE from the date of publication of this notice until the date on which the Application is heard by the Court. These and other documents relating to the Scheme are also available on the Bank’s website at www.co-operativebank.co.uk/coventry-transfer/.

The Application is due to be heard before the Court at the Rolls Building, Fetter Lane, London EC4A 1NL, United Kingdom on 2 December 2026. If approved by the Court, it is currently proposed that the Scheme will take effect on 1 January 2027.

Any person (including any customer or employee of either the Bank or CBS) who thinks that they may be adversely affected by the carrying out of the Scheme may attend the Court hearing and express their views either in person or by a representative.

Any person planning to attend the Court hearing or send a representative is requested to notify the Bank (along with their reasons for objecting) before 25 November 2026 using the contact details set out above. Any person who does not intend to attend the Court hearing but wishes to make representations about the Scheme or considers that they may be adversely affected should communicate their views to the Bank using the contact details set out above, preferably before 25 November 2026.

A record of the number of respondents will be maintained and, together with copies of any representations, provided to the Court at the date of the hearing and a summary of any objections will be provided to the Prudential Regulation Authority and the Financial Conduct Authority. A failure to give notice in advance does not prevent any person who wishes to do so from attending the Court hearing in person or by a representative, or from making representations in writing to be put before the Court. Any representative does not need legal training.

The costs of any representative will be borne by the person appointing them. If objections are to be made by a representative, they will need the permission of the Court to speak or have appropriate rights of audience before the Court.
