"That the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Vincent A Simmons (IP No. 8898) of BV Corporate Recovery & Insolvency Services Limited, 7 St Petersgate, Stockport, Cheshire, SK1 1EB and Claire Louise Harsley (IP No. 29512) of Mackay Goodwin Limited, 7 Smithford Walk, Prescot, Liverpool, L35 1SF be appointed as Joint Liquidators for the purposes of such voluntary winding up of the Company and that they are able to act jointly and severally in this regard."
