Notice is hereby given, pursuant to Rule 15.13 of the Insolvency (England and Wales) Rules 2016 (the “Rules”), that the Joint Liquidators of the above-named Company, Jen Whatcott and Emma Cray (the “conveners”), are seeking deemed consent from creditors to the proposed decision that no replacement liquidator of the Company will be appointed.

Each of Jen Whatcott (IP No. 28712) of PricewaterhouseCoopers LLP, 7 More London Riverside, London, SE1 2RT and Emma Cray (IP No. 17450) of PricewaterhouseCoopers LLP, One Chamberlain Square, Birmingham, B3 3AX (the “Joint Liquidators”) intend to resign as liquidators of the Company under rule 6.25(1)(c)(i) of the Rules.

Pursuant to rule 6.25(7) of the Rules, each of the Joint Liquidators will be released 21 days after the date of delivery of a notice of resignation to the Registrar of Companies under section 171(5) of the Insolvency Act 1986 (the “Act”).

The decision date for any objections to be made to the proposed decision for which the conveners are seeking deemed consent is 18 August 2026. In order to object to this proposed decision a creditor must have delivered a notice, stating that the creditor so objects, to be received by the conveners not later than 23.59 hours on the decision date. The notice of objection must be delivered together with a proof in respect of the creditor’s claim in accordance with the Rules failing which the objection will be disregarded. If less than the appropriate number (10% in value) of relevant creditors (defined as those who would be entitled to vote in a decision procedure, if the decision had been sought in that way) object to the proposed decision in accordance with the procedure set out in this notice, the creditors are to be treated as having made the proposed decision.

It is the conveners’ responsibility to aggregate any objections to see if the threshold is met for the decision to be taken as not having been made. If the objections threshold is met, this deemed consent procedure will terminate without a decision being made and if a decision is sought again on the same matter it will be sought by a decision procedure.

NOTE – The Company has no creditors. This notice is given simply to comply with the provisions of the Rules and the Act.
