"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and that James Miller (IP No. 21290) of RSM UK Restructuring Advisory LLP, Central Square, 5th Floor, 29 Wellington Street, Leeds, LS1 4DL and Matthew Woodcock (IP No. 32510) of RSM UK Restructuring Advisory LLP, Landmark, St Peter’s Square, 1 Oxford Street, Manchester, M1 4PB be and are hereby appointed Joint Liquidators of the Company and that they be authorised to act either jointly or severally."
