At a general meeting of the Members of the above-named Company, duly convened, and held on 14 Bonhill Street, London, EC2A 4BX on 9 June 2026 the following resolutions were passed by the Members, numbers 1 and 3 as Special resolutions and number 2 as an Ordinary resolution:

Resolutions

i. "That the Company be wound up voluntarily";

ii. "That Lloyd Edward Hinton and Kelly Knight be appointed as Joint Liquidators of the Company and that they be authorised to act either jointly or separately"; and

iii. "That the Joint Liquidators be authorised to distribute any of the Company's assets in specie".
