At a meeting of the members of the above-named Company duly convened and held at KPMG, The Soloist Building, 1 Lanyon Place, Belfast, BT1 3LP on 03 June 2026, the following resolutions were duly passed as a special resolution (1) and as ordinary resolutions (2) & (3):
1. “That the Company be wound up voluntarily.”
2. “That James Neill and John Donaldson of KPMG, The Soloist Building, 1 Lanyon Place, Belfast, BT1 3LP be appointed Joint Liquidators of the Company for the purposes of the winding-up.”
3. “That any act required or authorised under any enactment to be done by the Joint Liquidators in accordance with the Insolvency (Northern Ireland) Order 1989 be done by both or any one of them.”
At the subsequent meeting of creditors held at KPMG, The Soloist Building, 1 Lanyon Place, Belfast, BT1 3LP on the same date, no nominations for liquidator were received from creditors and, accordingly, the members’ decision to appoint James Neill and John Donaldson as Joint Liquidators stood.
