Notice is hereby given under Section 100 of the Insolvency Act 1986, and Rule 6.14 and Rule 15.8 of the Insolvency (England and Wales) Rules 2016, that a physical meeting of creditors of the above named Company is being convened by Mr William Fitzpatrick

The prescribed proportion of creditors have objected to the proposed nomination by deemed consent procedure under Section 246ZF of the Insolvency Act 1986. No nomination is deemed to have been made, and a physical meeting of creditors is now therefore being convened.

The physical meeting will be held at 2.30 pm on 15 June 2026 at Mercure Exeter Southgate Hotel, Southernhay E, Exeter EX1 1QF.

The purpose of the physical meeting is to seek resolutions to decide whether to form a creditors’ committee, to seek resolutions approving the appointment of James Neill and John Donaldson as Joint Liquidators of the Company for the purpose of the winding-up, and approval that any act required or authorised under any enactment to be done by the proposed Joint Liquidators in accordance with the Insolvency (England and Wales) Rules 2016 be done by both or any one of them. There is no requirement for creditors to attend or participate in this meeting. Creditors who choose not to attend or participate will continue to receive correspondence relating to the liquidation (unless they elect to opt out), and their creditor rights, including their ability to submit a claim at a future date in the liquidation will not be affected.

Any creditor entitled to attend and vote at the meeting is entitled to do so either in person or by proxy. Creditors wishing to vote at the physical meeting must (unless they are individual creditors attending in person) lodge their proxy with the convener before they may be used at the meeting.

In order to be counted, a creditor’s vote must be accompanied by a Proof of Debt in respect of the creditor’s claim (unless it has already been given). A vote will be disregarded if a creditors proof in respect of their claim is not received by 4:00pm on the business day before the meeting date, being 4:00pm on Friday 12 June 2026. A creditor who has opted out of receiving notices may nevertheless vote if the creditor provides a Proof of Debt in the requisite timeframe. Please note that creditors with claims of less than £1,000 are still required to have submitted proof of their claim in order for their vote to be valid.

A creditor may appoint a person as a proxy-holder to act as their representative and to speak, vote, abstain or propose resolutions at the meeting. A proxy for this specific meeting must be delivered to either of the above addresses before the meeting.

Creditors have the right to appeal a decision of the convener about creditors' voting rights and majorities by applying to Court under Rule 15.35 within 21 days of the decision date.

The Chair may adjourn or suspend the meeting if necessary and must do so if it is resolved so at the meeting. Creditors who are excluded or affected by an exclusion may complain to the Chair or convener by no later than 4:00pm on the business day following the exclusion or notice of exclusion, in accordance with rule 15.38. An excluded creditor is a person who has taken all necessary steps to attend the meeting but was unable to do so.

James Neill (IP No. 12810) and John Donaldson (IP No. 25132) are qualified to act as Insolvency Practitioners and during the period before the decision date will furnish creditors free of charge with such information concerning the Company's affairs as they may reasonably require.

A list of names and addresses of the Company’s creditors will be available for inspection free of charge at 7 Barnfield Crescent, Exeter, England, EX1 1QT in the two business days immediately preceding the meeting between the hours of 10.00 am and 4.00 pm.
