Notice is hereby given pursuant to Rule 6.14 of the Insolvency (England and Wales) Rules 2016 that we are seeking decisions using deemed consent. The Decision Date is 4 June 2026. The Company has nominated that: James Neill and John Donaldson of KPMG, The Soloist Building, 1 Lanyon Place, Belfast, BT1 3LP, be appointed as Joint Liquidators of the Company; and The shareholders of the Company will pass a special resolution for voluntary winding up of the Company before the decision of creditors is held.

We therefore seek decisions by deemed consent from the creditors: (1) Then our responsibility to aggregate any objections to establish if 10% or more in value of creditors have objected to the deemed consent.

If this threshold is met, the deemed consent procedure will terminate without a decision(s) being made and a physical meeting will be convened.

What you need to do if you wish to request a physical meeting to consider the proposed decisions

If you wish to request a physical meeting, you must complete and return a physical meeting requisition form, which will be sent to all creditors. Completed forms must be received by 03 June 2026, one business day before the decision date. All forms must be accompanied by a proof of debt form.

Please note that a physical meeting will only be convened if it is requested by at least (a) 10% in value of the creditors, (b) 10% in number of creditors or (c) 10 creditors. If one of these thresholds is not met, the deemed consent procedure will continue as outlined above.

Any creditor may, in accordance with Rule 15.35, appeal a decision, provided that appeal is made not later than 21 days after the decision date.

A Statement of Affairs prepared by the director of the Company will be circulated before the decision date.

Note: Secured creditors (unless they surrender their security) must give particulars of their security and its value if they wish to vote on the decision, such vote being only to the value of those parts of their claims not covered by the value of their security.
