“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Eric Walls (IP No. 9113) of RMT KSA, Gosforth Park Avenue, Newcastle upon Tyne, NE12 8EG and Christopher John Ferguson (IP No. 22890) of RMT Accountants & Business Advisors Limited, Gosforth Park Avenue, Newcastle upon Tyne, NE12 8EG be and are hereby appointed Joint Liquidators for the purposes of such winding up. The Liquidators are authorised to act jointly or severally in all matters pertaining to the liquidation.”
