“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and that Tyrone Courtman (IP No. 7237) of RSM UK Restructuring Advisory LLP, Rivermead House, 7 Lewis Court, Grove Park, Enderby, Leicester, LE19 1SD and Gareth Harris (IP No. 14412) of RSM UK Restructuring Advisory LLP, 5th Floor, 29 Wellington Street, Leeds, LS1 4DL be and are hereby appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators are to act jointly and severally.”
