I, the undersigned, being the sole member of the Company entitled to receive notice of and to attend and vote at Members' Meetings, hereby provide my agreement to the following Written Resolutions, duly convened and held on 22 August 2025, which for all purposes shall be as valid and effective as if the same had been passed at a Members Meeting of the Company duly convened and held as a Special Resolution and as an Ordinary Resolution:

“That the Company be wound up voluntarily and that George Lafferty (IP No. 9584) and Gordon McIntyre (IP No. 30830) both of McLaren Insolvency Practitioners Ltd, 250 West George Street, Glasgow, G2 4QY be appointed as Joint Liquidators of the Company and that they act jointly and severally."
